By-laws of the Fully Informed Jury Association of Iowa

ARTICLE I. - NAME AND ADDRESS

The name of this organization is: Fully Informed Jury Association of Iowa [FIJA-Iowa] incorporated on October 10, 1992, and registered with the Secretary of State, of the State of Iowa, December 7, 1992.  The address is: Post Office Box 16223, Des Moines, Iowa 50313.  The Office Phone is: 515-262-4660.  The E-mail address is: <fijaiowa@commonlink.net>

ARTICLE II. - PURPOSE

FIJA-Iowa is a nonprofit volunteer organization for the purpose of raising public and legislative awareness in regard to the historical and traditional function and sovereign authority of trial juries, which implies that the jury has the prerogative to judge the law as well as all the evidence, and to render a verdict dictated by conscientious consideration.

ARTICLE III. - MEMBERSHIP

Membership shall be open to everyone who has paid their current annual dues, and shall include the right to vote on issues brought before the membership.  Members are encouraged to actively assist the organization by serving and working on committees.   Membership renewals shall be due on January 1st, and new membership dues shall be prorated.

ARTICLE IV. - MANAGEMENT

The management of the affairs of FIJA-Iowa is vested in the Board of Directors, whose members are named in the Articles of Incorporation as registered with the Secretary of State.  The Board of Directors establishes by nomination and election the Leadership Committee consisting of a State Coordinator, State Chairman, Secretary, Treasurer, Membership Chairman, and a Lobbyist.  The Leadership Committee might be expanded by a Finance Committee, Legislative Committee, Public Affairs Committee, Activities & Planning Committee, County Coordinators Committee, a News Committee with a Newsletter Editor, assisted by Co-editors, or other committees for organizational purposes.  And would the need arise for additional funding to carry out all of the organization's activities, goals, and responsibilities, FIJA-Iowa shall incur no debts, but instead encouraged to become actively engaged in some form of fund raising.

ARTICLE V. - OFFICERS

The Chairman, duly nominated and elected, with the inclusion of the Board of Directors, shall preside at all meetings of the Leadership Committee, and conduct the business of the organization in an orderly and productive manner, which includes the planning and programming of scheduled meetings, events, and activities, with the assistance of the members, to whom certain assignments have been delegated.

The State Coordinator, when no candidate is available, shall be appointed by the Leadership Committee, with the approval of the Board of Directors, and who does functions primarily as the organization's spokesman, or a public relations contact.  Various other duties may be assigned or assumed by the State Coordinator, with the approval of the Leadership Committee.

The Secretary, duly nominated and elected, and the approval of the Board of Directors, shall take the minutes of the Annual General Membership Meeting, the Leadership [Organizational] Meetings, and shall keep the official records of FIJA-Iowa.  The secretary may represent the organization in public affairs as a result of his knowledge, experience, and ability to communicate with the general public and the news-media via the internet and in other ways.

The Treasurer, duly nominated and elected, with the inclusion of the Board of Directors, shall keep record of all credit and debit transactions, donations, and dues, and furnish reports at all meetings.  Payment of bills must be approved by the Chairman or Coordinator.

Membership Chairman, duly nominated and elected, with the inclusion of the Board of Directors, shall keep up to date membership lists, from which mailings can be carried out, including "courtesy", "associate", and "out-state" mailings. Additional columns should indicate contributions, "FIJActivist" subscriptions, organizational functions & activities.

ARTICLE VI. - COMMITTEES

As mentioned under ARTICLE IV. MANAGEMENT, there may come a need for additional committees to be added at the discretion of the Chairman and Board of Directors, who later will submit reports at the Annual General, or Organizational Meetings.

ARTICLE VII. - MEETINGS

FIJA-Iowa shall hold its Annual General Meeting on the Second Saturday in January, or it may be moved to the third Saturday, when there is a valid reason to do so.  The membership shall be notified by mail at least two weeks prior to the meeting.  At any meeting a quorum of at least nine members shall be required to conduct business, which will be determined by a simple majority vote, except on a Motion of Dissolution, a 2/3 majority is required.  At any time throughout the year, Organizational Meetings may be conducted to keep a progressive momentum going.

ARTICLE VIII. - RULES OF ORDER

The Parliamentary Authority in conducting meetings shall be by the latest edition of Robert's Rules of Order.

ARTICLE IX. - DISSOLUTION

Upon dissolution of FIJA-IOWA, the Board of Directors shall, after payment of all liabilities of FIJA-IOWA, dispose of the remaining assets to a non-profit charitable or educational organization.

ARTICLE X. - AMENDMENTS

These By-Laws may be amended by a 2/3 majority vote at the Annual General Meeting, provided that any such proposed amendment shall have been distributed to each member at least thirty days prior to the Annual General Meeting.

ARTICLE XI. - ADOPTION AND SIGNATURES

These By-Laws are duly adopted and voted on by a 2/3 majority of the members present at the Organizational Meeting of the Fully Informed Jury Association of Iowa, on: this 20th day of June, 1998.
